Terms of Service

These Terms of Service (hereinafter referred to as "these Terms") set forth the conditions for use of the services (hereinafter referred to as "the Service") provided by Extoria Inc. (hereinafter referred to as "the Company"). All customers (hereinafter referred to as "Users") who use the Service are deemed to have agreed to these Terms.

Article 1 (Application)

1. These Terms are intended to set forth the rights and obligations between the Company and Users regarding the use of the Service, and shall apply to all relationships between Users and the Company regarding the use of the Service.

2. Rules and regulations regarding the use of the Service posted by the Company on the Company's website shall constitute a part of these Terms.

Article 2 (Registration)

1. A person who wishes to use the Service (hereinafter referred to as a "Registration Applicant") may apply to the Company for registration to use the Service by agreeing to comply with these Terms and providing certain information prescribed by the Company (hereinafter referred to as "Registration Information") to the Company in the manner prescribed by the Company.

2. The Company shall determine whether or not to approve the registration of the Registration Applicant in accordance with the Company's criteria, and if the Company approves the registration, shall notify the Registration Applicant to that effect. Registration of the Registration Applicant as a User shall be completed when the Company gives notice pursuant to this paragraph.

Article 3 (Prohibited Acts)

Users shall not engage in the following acts when using the Service:

• Acts that violate laws or public order and morals
• Acts related to criminal activities
• Acts that infringe upon the intellectual property rights, portrait rights, privacy, honor, or other rights or interests of the Company, other Users of the Service, or third parties
• Acts that place excessive burden on the network or system of the Service
• Acts that may interfere with the operation of the Company's services
• Acts of unauthorized access or attempts to do so
• Acts of collecting or accumulating personal information about other Users
• Acts of using the Service for fraudulent purposes
• Acts that cause disadvantage, damage, or discomfort to other Users of the Service or other third parties
• Acts of providing benefits to antisocial forces or other acts of cooperation
• Other acts that the Company deems inappropriate

Article 4 (Suspension of Service)

1. The Company may suspend or interrupt the provision of all or part of the Service without prior notice to Users if the Company determines that any of the following reasons exist:

• When performing maintenance, inspection, or updates of computer systems related to the Service
• When it becomes difficult to provide the Service due to force majeure such as earthquakes, lightning, fires, power outages, or natural disasters
• When computers or communication lines are stopped due to an accident
• When the Company determines that it is difficult to provide the Service for other reasons

Article 5 (Restriction on Use and Deletion of Registration)

1. The Company may, without prior notice, restrict the use of all or part of the Service or delete the registration as a User if the User falls under any of the following:

• When any provision of these Terms is violated
• When it is found that there are false facts in the Registration Information
• When there is a failure to fulfill payment obligations such as fees
• When there is no response to contact from the Company for a certain period
• When there is no use of the Service for a certain period from the last use
• When the Company determines that the use of the Service is inappropriate for other reasons

Article 6 (Disclaimer of Warranty and Limitation of Liability)

1. The Company does not warrant, either expressly or impliedly, that the Service is free from defects in fact or in law (including defects in safety, reliability, accuracy, completeness, effectiveness, fitness for a particular purpose, security, errors or bugs, infringement of rights, etc.).

2. The Company shall not be liable for any damages caused to Users arising from the Service, except in cases of willful misconduct or gross negligence on the part of the Company.

Article 7 (Changes to Service Content)

The Company may change, add, or discontinue the content of the Service with prior notice to Users, and Users agree to this.

Article 8 (Changes to Terms of Service)

1. The Company may change these Terms without the individual consent of Users in the following cases:

• When the change to these Terms is in the general interest of Users
• When the change to these Terms does not contradict the purpose of the Service use contract and is reasonable in light of the necessity of the change, the appropriateness of the content after the change, and other circumstances related to the change

2. The Company shall notify Users in advance of the fact that these Terms will be changed, the content of the revised Terms, and the effective date of the change when changing these Terms pursuant to the preceding paragraph.

Article 9 (Handling of Personal Information)

The Company shall appropriately handle personal information acquired through the use of the Service in accordance with the Company's "Privacy Policy."

Article 10 (Notifications or Communications)

Notifications or communications between Users and the Company shall be made in the manner prescribed by the Company. The Company shall deem the currently registered contact information to be valid and shall send notifications or communications to such contact information, unless the Company receives a change notification from the User in accordance with the format separately prescribed by the Company, and these shall be deemed to have reached the User at the time of transmission.

Article 11 (Prohibition of Assignment of Rights and Obligations)

Users may not transfer or provide as security their status under the Service use contract or their rights or obligations under these Terms to third parties without the prior written consent of the Company.

Article 12 (Governing Law and Jurisdiction)

1. These Terms shall be governed by Japanese law.

2. In the event of any dispute regarding the Service, the court having jurisdiction over the location of the Company's head office shall have exclusive jurisdiction.
